Audit Committee Expert Members

Oriel College is seeking to recruit two Expert Members to the Audit Committee.

Expert Members are those with relevant specialist knowledge to offer advice and scrutiny in the areas of governance, risk management, financial reporting and the not-for-profit / charity sector.

The Audit Committee consists of four external members and one member of the Governing Body who is not part of the executive management of the College. In addition, College Officers also attend the meetings: Provost, Treasurer, and Financial Controller.

– The Audit Committee exists to review, on behalf of the College, the effectiveness of:
– External audit
– The College financial statements
– Internal controls, including management and operational controls
– General financial governance
– The College’s systems for identifying and managing risk – the Audit Committee will have close links with the Risk Committee
– The College’s systems for ensuring compliance with legal and regulatory obligations
– The processes for ensuring long-term stability of the College

They will bring strong commercial acumen, act as a critical friend, challenge constructively and mitigate risks.

The successful candidates will bring a senior leadership experience in internal and external auditing and significant financial reporting. They will ideally bring experience in the commercial or financial services sectors. The successful candidate will understand risk management, including its link to good governance and decision-making. Exposure to the third sector would be desirable but is by no means essential. Previous Committee experience would be seen as advantageous but above all, they will bring energy, enthusiasm and a strong interest in higher education. Candidates will also bring:

– Proven interpersonal and communication skills, including critical listening and the ability to ask probing question

– The ability and confidence to hold to account the College’s officers and representative of internal and external auditing

– A commitment to high standards of governance and probity and the ability to operate in accordance with the Charity
Governance Code and the Nolan Principles.

This role is unremunerated, and reasonable, pre-agreed domestic travel expenses will be reimbursed. There will be two in-person Committee meetings annually which take place in October and March / April. There will also be ad hoc engagement in between meetings. The term is for four years, with a maximum of two terms.
